Interim Senior Project Manager - Mergers & Acquisitions

Job Introduction

We are seeking an Interim Senior Project Manager – M&A as maternity cover from June to December 2022. The Interim Senior Project Manager - M&A will act as a trusted advisor to Bauer Media Group, managing the successful execution of acquisitions, divestments and other investments. As an experienced M&A executive, the Senior Project Manager will be responsible for managing/leading their own M&A projects from initiation through to completion.

Role Responsibility

The project manager will be responsible for leading specific M&A transactions from start to finish. This will include:

  • Supporting the Business Areas in identifying and sourcing attractive investment opportunities
  • Valuing potential investments and leading both internal and external price discussions and negotiations, both on a stand-alone basis and with synergies
  • Leading, alongside the Business Unit sponsor, the overall negotiation of the transaction with the counter-party. Key to this is the ability to build a strong, engaged relationship with both external counter-parties and internal stakeholders, whilst effectively negotiating the transaction
  • Managing the deal process with both internal stakeholders and external advisers, including the external due diligence process and the internal approval process
  • Preparing recommendation papers for the Investment Committee and managing the process with both the Investment Committee, the sponsoring Business Unit and other Global Business Partners
  • Alongside the legal team, both internal and external, managing and negotiating transaction documents
  • Acting as a strategic partner and ‘critical friend’ to the sponsoring Business Area / Unit to identify risks and ensure that all M&A is value creating
  • Engaging with, supporting and effectively handing over to the Post-Merger Integration (PMI) team following completion of the project
  • Leading and managing all other activities required to deliver successful M&A

Alongside managing specific projects, the project manager will be an active participant in the M&A team:

  • Contributing to the M&A team meetings, weekly briefings and broader initiatives
  • Sharing transaction experiences with the M&A team to identify best-practice and areas for improvement
  • Engaging with the M&A team and other relevant parties to develop best-in-class M&A delivery
  • Leading and supporting broader industry monitoring and identifying trends

 

The project manager will work on multiple projects at the same time and needs to be able to:

  • Manage competing demands on their time and to effectively prioritise
  • Demonstrate the resilience required to work successfully in time pressured and often complex processes with multiple stakeholders

The Ideal Candidate

  • Strong M&A experience, ideally developed in a Corporate M&A team or a Professional Services environment. E.g. Five to seven years of experience in M&A or New Business Development in a Corporate or well know M&A Advisory / Consulting firm
  • Demonstrable experience negotiating and project managing complex transactions in a time pressured environment – negotiating style which is empathetic whilst firm enough to deliver results
  • The leadership skills required to independently manage transactions and to build effective ‘virtual’ teams from multiple departments, as well as being a strong M&A team player
  • Good valuation skills and excellent numeracy – in particular, the ability to build a bespoke discounted cash flow valuation model
  • Strong analytical skills – able to analyse a business, a business plan and to assess future value creation, synergies and fit with Bauer
  • Excellent English written and oral communication skills – able to write succinct but compelling Investment Committee papers, clearly communicate in emails and able to engage effectively with both the most senior Bauer executives and more junior staff
  • A high-level of independence, initiative and commitment – able to lead and manage own projects without material supervision, but an awareness for when risks are material and need to be escalated
  • A capacity to deal with uncertainty and changing demands in a rapidly evolving Corporate environment
  • Knowledge of and experience in the Media Industry is not necessary, but would be an advantage
  • Ability to travel within Europe
